AGREEMENT TO TERMS
These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you”) and Door Directly (“Door Directly,” “we,” “us,” or “our”) regarding your access to and use of https://www.doordirectly.com and any related media, mobile websites, or applications (collectively, the “Site”). The Site provides an online marketplace for doors, door hardware, accessories, and related services (the “Marketplace Offerings”).
By accessing or using the Site and/or the Marketplace Offerings, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Site.
Supplemental terms or policies posted on the Site from time to time are incorporated by reference. We may modify these Terms at any time. We will update the “Last updated” date when changes are made. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
The Site is intended for users at least 13 years of age. If you are under the age of majority in your jurisdiction, you may use the Site only with permission and direct supervision of a parent or legal guardian.
The Site is not designed for use in connection with industry-specific regulations (e.g., HIPAA, FISMA, GLBA). Do not use the Site if your interactions would be subject to such laws.
INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, the Site, the Marketplace Offerings, and all content, features, software, designs, text, graphics, images, and trademarks (collectively, the “Content” and “Marks”) are owned by or licensed to us and protected by applicable laws. The Content and Marks are provided “AS IS” for your personal, non-commercial use. Except as expressly permitted in these Terms, no portion of the Site, Content, or Marks may be copied, reproduced, republished, uploaded, posted, transmitted, sold, licensed, or otherwise exploited without our prior written permission.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes.
USER REPRESENTATIONS
By using the Site, you represent and warrant that:

We may suspend or terminate your account for any inaccurate, incomplete, or fraudulent information, or for violation of these Terms.
USER REGISTRATION
You may need to register for an account to access certain features. Keep your password confidential; you are responsible for all activity under your account. We may refuse, reclaim, or change a username at our discretion.
MARKETPLACE OFFERINGS
We make reasonable efforts to display accurate colors, features, specifications, and details of products and services. However, variations may occur (including due to electronic displays, natural wood grain, finishes, or manufacturing tolerances). Availability is not guaranteed and quantities may be limited. Descriptions and pricing may change without notice. We may discontinue any Marketplace Offering at any time.
Certain items (e.g., custom or made-to-order doors) may be subject to special terms, lead times, and return limitations as described on product pages or in our Shipping & Returns Policy.
PURCHASES AND PAYMENT
We accept the payment methods identified at checkout. You agree to provide current, complete, and accurate purchase and account information and to promptly update it as needed. Sales tax will be charged as required by law. All prices are in U.S. dollars and may change without notice. You authorize us to charge your payment method for all amounts due at the time of order. We may correct pricing or other errors, even after payment is requested or received.
We may refuse or limit any order, including orders that appear to be placed by resellers or distributors.
RETURNS & CANCELLATIONS
Please review our Shipping & Returns Policy (available on the Site) before purchasing. That policy is incorporated into these Terms by reference.
PROHIBITED ACTIVITIES
You agree not to:

harvest, scrape, or compile Site data without written permission;

use automated means (bots, scripts) to access the Site;

interfere with security-related features;

frame or link to the Site in a misleading manner;

submit false, misleading, or fraudulent information;

upload viruses, malware, or any code that disrupts Site operations;

reverse engineer or decompile any part of the Site;

engage in conduct that harasses, abuses, or harms others;

use the Site in violation of any law or regulation; or

use the Site or Content for competitive analysis or to build a competing product/service.
USER CONTENT & REVIEWS
If the Site allows you to submit reviews, comments, or other content (“Contributions”), you grant us a perpetual, worldwide, non-exclusive, royalty-free, fully-paid, transferable, and sublicensable license to use, host, store, reproduce, modify, translate, distribute, publicly perform and display such Contributions in any media. You represent that you own or control all rights in your Contributions and that they do not infringe third-party rights or violate any law. We may moderate, remove, or decline to post Contributions at our discretion.
Review guidelines (if applicable): reviews should reflect first-hand experience, avoid profanity/hate speech, not include illegal content, and not be false or misleading. We may remove reviews that violate these guidelines.
SUBMISSIONS
Any questions, comments, suggestions, ideas, or feedback (“Submissions”) you send to us are non-confidential and become our sole property. We may use and disclose Submissions for any lawful purpose without compensation to you.
THIRD-PARTY WEBSITES & CONTENT
The Site may link to third-party websites or content. We are not responsible for and do not endorse third-party sites, content, products, or services. Your interactions with third parties are solely between you and those third parties.
SITE MANAGEMENT
We reserve the right, but not the obligation, to: (1) monitor the Site for violations; (2) take legal action for violations; (3) restrict or disable your Contributions; (4) remove files or content that are excessive or burdensome; and (5) otherwise manage the Site to protect our rights and facilitate proper operation.
PRIVACY POLICY
Please review our Privacy Policy (see https://www.doordirectly.com/privacy-policy). By using the Site, you agree to our data practices described there. The Site is hosted in the United States; by using it from other locations, you consent to transfer and processing of your data in the U.S. We do not knowingly collect personal information from children under 13.
MODIFICATIONS & AVAILABILITY
We may change or discontinue the Site or any Marketplace Offering at any time, without notice. We do not guarantee the Site will be available at all times. We are not liable for any interruption, delay, or unavailability.
GOVERNING LAW
These Terms and your use of the Site are governed by the laws of the State of California, without regard to conflict-of-law principles.
DISPUTE RESOLUTION
Informal Negotiations. Before initiating arbitration, the parties will attempt in good faith to resolve any dispute informally for 30 days after written notice.
Binding Arbitration. If not resolved, disputes will be finally settled by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where applicable, the AAA Consumer Rules. The arbitration will occur in Los Angeles, California (or remotely, as permitted). The arbitrator shall apply applicable law; any award may be entered in any court with jurisdiction. YOU WAIVE THE RIGHT TO A JURY TRIAL.
Restrictions. Arbitration is conducted only on an individual basis. No class actions, consolidated, or representative proceedings are permitted.
Exceptions. Either party may seek injunctive or other equitable relief in court for intellectual property or confidentiality violations, or as otherwise allowed by law.
If any portion of this arbitration clause is found unenforceable, that portion will be severed, and the remainder enforced to the maximum extent permitted.
DISCLAIMER
THE SITE AND MARKETPLACE OFFERINGS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA), ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR MARKETPLACE OFFERINGS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE EVENT.
Certain jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Door Directly and our affiliates, officers, agents, partners, and employees from and against any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising from: (1) your use of the Site or Marketplace Offerings; (2) your breach of these Terms; (3) your Contributions; or (4) your violation of any law or third-party rights.
USER DATA
We may maintain data related to Site performance and your use. You are responsible for all data you transmit or that relates to your activities on the Site. We are not liable for any loss or corruption of such data.
ELECTRONIC COMMUNICATIONS, TRANSACTIONS & SIGNATURES
Visiting the Site, emailing us, and completing online forms constitute electronic communications. You consent to receive electronic communications from us and agree that electronic agreements, notices, disclosures, and other communications satisfy any legal requirements that such communications be in writing. You consent to electronic signatures and records.
CALIFORNIA USERS & RESIDENTS

MISCELLANEOUS
These Terms and any policies posted on the Site constitute the entire agreement between you and us. If any provision is unlawful, void, or unenforceable, that provision is severable and does not affect remaining provisions. No waiver of any term shall be deemed a further or continuing waiver. We may assign our rights and obligations at any time. You may not assign these Terms without our prior written consent.
